The Client acknowledges that all intellectual property rights, including copyright, trademarks, patents, and designs, in any work created by Core SEO, remain the property of the Company. The Client agrees not to use or reproduce any such intellectual property without the express written consent of Core SEO.

Confidentiality

Payment

The Client agrees to pay the Company for the Services in accordance with the payment terms set out in each service agreement. Termination

Either party may terminate the Agreement by giving written notice of termination to the other party. Core SEO reserves the right to terminate the Agreement at any time due to non-payment of fees or breach of these terms and conditions by the Client.

Limitation of Liability

The liability of Digital Marketing Pty Ltd t/a Core SEO to the Client, whether in contract, tort, or otherwise, is limited to the amount paid by the Client for the Services. The Company shall not be liable for any indirect or consequential loss, including but not limited to loss of profits or revenue.

Indemnification

The Client agrees to indemnify and hold Digital Marketing Pty Ltd t/a Core SEO, its affiliates, officers, directors, employees, and agents harmless from and against any and all claims, losses, expenses, damages, and liabilities, including reasonable attorneys’ fees, arising from or related to:

(a) any breach by the Client of its obligations under this Agreement, including without limitation any violation of applicable laws or regulations;

(b) any negligent or willful act or omission of the Client, its employees or agents;

(c) any infringement or violation of any intellectual property right or proprietary right of any third party arising from the Client’s use of the Services; or

(d) any claim that the content or materials provided by the Client or its agents for use in connection with the Services infringes any intellectual property rights of any third party.

The Client shall not enter into any settlement or compromise of any such claim without Core SEO’s prior written consent, which shall not be unreasonably withheld or delayed.

Governing Law

These terms and conditions shall be governed by and construed in accordance with the laws of the state or territory in which Digital Marketing Pty Ltd t/a Core SEO operates.

Errors And Omissions

Core SEO is not responsible for any errors or omissions, or for the results obtained from the use of this information. All information in the Core SEO Platform is provided “as is”, with no guarantee of completeness, accuracy, timeliness or of the results obtained from the use of this information.

If engaged for SEO services, Core SEO agrees to provide SEO services as outlined in the individual subscription level.

The Company requires access to the website’s CMS, cPanel, FTP, and hosting accounts to provide comprehensive SEO On Demand service.

The Company reserves the right to conduct SEO services in line with the Company’s own best practices.

Core SEO reserves the right to publish website content as deemed necessary within the SEO campaign parameters.

The Company requires payment information, held on file, to charge the Client at the commencement of each month for their SEO services. Payment is required in advance across all SEO services conducted by the Company.

The Company requires a 30-day written notice of Cancellation of Services.

The Client acknowledges that Core SEO may engage the services of third-party contractors to fulfill certain services.
